Hygieia Terms of Service

These Terms of Service ("Terms") are an agreement between you and Saar Inc. ("Hygieia," "we," "us," or "our") governing your use of Hygieia's websites, web application, and mobile applications (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a practice or other organization, you represent that you are authorized to bind that organization, and "you" includes it.
1. Who the Service is for
The Service is intended for licensed healthcare professionals and their authorized practice staff in the United States. You must be at least 18 years old. You are responsible for ensuring that your use of the Service complies with the laws, professional rules, and facility policies that apply to you.
2. What the Service is — and is not
Hygieia produces draft clinical documentation and advisory suggestions — including transcription, note drafts, differential and workup considerations, and documentation and coding observations — based on the information you provide and, where applicable, cited reference sources. These outputs are presented for your independent professional review.
The Service does not practice medicine and does not provide medical advice. It is not intended to replace your professional judgment, and it must not be used as the sole basis for any clinical or billing decision. You remain solely responsible for all diagnosis, treatment, documentation, coding, and claims decisions. The Service is not for use by patients and is not for use in emergencies.
3. Your professional responsibilities
- Review and sign-off. Every note is a draft until you review it. When you finalize or sign off a note, you attest to its content, and you are responsible for its accuracy and completeness.
- Recording consent. You are responsible for obtaining any consent to record required by the law of the state where the visit takes place and by your hospital or facility's policies. Hygieia prompts you to confirm consent before each ambient recording, but it does not obtain consent on your behalf.
- Authorized data only. You may only submit information — including patient information — that you are authorized to process. You will not use the Service to process patient information outside a professional treatment or billing relationship.
- Coding and billing. Coding-related outputs (such as evaluation and management observations or add-on code suggestions) are informational. Final code selection and claim submission are your responsibility or that of your billing staff.
- Account security. Keep your credentials secure, maintain the required multi-factor authentication, and tell us promptly at the address below if you believe your account has been compromised.
4. HIPAA
If you are a covered entity or business associate under HIPAA, your use of the Service with protected health information requires a Business Associate Agreement ("BAA") with us. With respect to protected health information, the BAA controls over these Terms and over our Privacy Policy.
5. Subscriptions and fees
- Pricing. Fees for the Service are shown at the time of purchase. Payments are processed by Stripe.
- Trials. If your plan includes a free trial, the subscription begins charging when the trial ends unless you cancel first.
- Renewal and cancellation. Subscriptions renew automatically each billing period. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Per-use features. Some features are priced per use. Their price is shown before you run or apply them, and where a feature charges only on an accepted result, nothing is charged unless you accept.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
- Changes. We may change pricing with advance notice; changes apply from your next billing period.
6. Acceptable use
You will not:
- use the Service in violation of any law or professional obligation;
- attempt to re-identify de-identified information, except for your own patients through the Service's intended features;
- interfere with or disrupt the Service, probe or test its security without written permission, or access it by automated means;
- reverse engineer, copy, resell, or build a competing service from the Service;
- share your account or circumvent access controls or usage limits;
- use the Service to create documentation you know to be false or misleading, or to support fraudulent claims.
We may suspend or terminate access for violations of these Terms.
7. Your content
You (or your practice) own the clinical documentation and other content you create with the Service. You grant us the rights needed to host, process, transmit, and display that content in order to provide the Service to you and your practice. We use aggregate, de-identified usage counts to operate and improve the Service; we do not use your patients' information to train shared AI models.
8. Our intellectual property
The Service — including its software, design, and content other than yours — is owned by Saar Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms for the duration of your subscription.
9. Disclaimers
AI-generated outputs can be inaccurate or incomplete. You must verify outputs before relying on them for any clinical, documentation, or billing purpose. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR REIMBURSEMENT OR BILLING OUTCOME.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW, AND NOTHING IN THESE TERMS LIMITS EITHER PARTY'S OBLIGATIONS UNDER A BUSINESS ASSOCIATE AGREEMENT.
11. Indemnification
You will defend and indemnify Saar Inc. against third-party claims arising from your content, your clinical or billing decisions, your failure to obtain required consents, or your violation of these Terms or applicable law.
12. Term and termination
These Terms apply while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material violation of these Terms, with notice where practicable. Upon termination, sections that by their nature should survive — including Sections 7 through 15 — survive, and any BAA's provisions on the return or destruction of protected health information apply.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Broward County, Florida, and each party consents to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date, and for material changes we will notify account holders by email or in the app. Continued use of the Service after changes take effect constitutes acceptance.
15. General
These Terms, together with the Privacy Policy and any BAA between us, constitute the entire agreement between you and Saar Inc. regarding the Service. If any provision is found unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
